						<section id="A"><p><span class="prefix-number">A.</span> No <span class="dictionary">winery</span> shall require any wholesaler to <span class="dictionary">waive</span> compliance with any provision of this chapter. Any <span class="dictionary">contract</span> or <span class="dictionary">agreement</span> purporting to do so is void and unenforceable to the extent of the <span class="dictionary">waiver</span> or variance. Nothing in this chapter shall limit or prohibit good faith <span class="dictionary">settlements</span> of disputes voluntarily entered into between the parties. <a id="paragraph-1353671" class="section-permalink" href="https://vacode.org/4.1-416/#A"><i class="fa fa-link"/></a></p></section>
						<section id="B"><p><span class="prefix-number">B.</span> Any <span class="dictionary">contract</span> between a <span class="dictionary">winery</span> and a <span class="dictionary">wine wholesaler</span> pursuant to which the wholesaler is to market the <span class="dictionary">winery</span>&#x2019;s products in the Commonwealth shall be governed by the <span class="dictionary">laws</span> of the Commonwealth as the place of performance, notwithstanding the <span class="dictionary">fact</span> that such <span class="dictionary">contract</span> may have been made in another state or the <span class="dictionary">fact</span> that such <span class="dictionary">contract</span> may provide that it is to be governed by the <span class="dictionary">laws</span> of another state. <a id="paragraph-1353672" class="section-permalink" href="https://vacode.org/4.1-416/#B"><i class="fa fa-link"/></a></p></section></text><history>Code 1950, &#xA7; 4-118.37; 1985, c. 542, &#xA7; 4-118.57; 1989, c. 10; 1993, c. 866.</history><metadata></metadata></law>
