A resignation is effective as provided in subdivision A 9 of &#xA7; 13.1-610 unless the notice provides for a delayed effectiveness. If effectiveness of a resignation is stated to be delayed and the board of directors or the appointing officer, if any, accepts the delay, the board of directors or the appointing officer, if any, may fill the pending vacancy before the delayed effectiveness but the new officer may not take office until the vacancy occurs.\n\nB\n\nAn officer may be removed at any time with or without cause by (i) the board of directors; (ii) the appointing officer, if any, unless the bylaws or the board of directors provides otherwise; or (iii) any other officer, if authorized by the bylaws or the board of directors. An officer&#8217;s resignation does not affect the <span class=\"dictionary\">corporation<\/span>&#8217;s <span class=\"dictionary\">contract<\/span> rights, if any, with the officer. <a id=\"paragraph-1293626\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/13.1-695\/#B\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"C\"><p><span class=\"prefix-number\">C.<\/span> Any <span class=\"dictionary\">person<\/span> who has resigned as an officer of a <span class=\"dictionary\">corporation<\/span>, or whose name is of record in the office of the clerk of the <span class=\"dictionary\">Commission<\/span> as an officer of a <span class=\"dictionary\">corporation<\/span>, may file a statement to that effect with the <span class=\"dictionary\">Commission<\/span>. <a id=\"paragraph-1293627\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/13.1-695\/#C\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D\"><p><span class=\"prefix-number\">D.<\/span> Upon the resignation or removal of an officer, the <span class=\"dictionary\">corporation<\/span> may file an amended annual report with the <span class=\"dictionary\">Commission<\/span> indicating the resignation or removal of the officer and the successor in office, if any. <a id=\"paragraph-1293628\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/13.1-695\/#D\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"E\"><p><span class=\"prefix-number\">E.<\/span> As used in this section &#8220;<span class=\"dictionary\">appointing officer<\/span>&#8221; means the officer, including any successor to that officer, who, in accordance with subsection B of &#xA7; <a class=\"law\" title=\"Required officers\" href=\"\/13.1-693\/\">13.1-693<\/a>, appointed the officer who is resigning or being removed. <a id=\"paragraph-1293629\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/13.1-695\/#E\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nRESIGNATION AND REMOVAL OF OFFICERS (\u00a7 13.1-695)\n\nA. An officer may resign at any time by delivering a written notice to the board\nof directors, its chairman, the appointing officer, if any, or the\ncorporation&#8217;s secretary. A resignation is effective as provided in\nsubdivision A 9 of &#xA7; 13.1-610 unless the notice provides for a delayed\neffectiveness. If effectiveness of a resignation is stated to be delayed and the\nboard of directors or the appointing officer, if any, accepts the delay, the\nboard of directors or the appointing officer, if any, may fill the pending\nvacancy before the delayed effectiveness but the new officer may not take office\nuntil the vacancy occurs.\n\nB. An officer may be removed at any time with or without cause by (i) the board\nof directors; (ii) the appointing officer, if any, unless the bylaws or the\nboard of directors provides otherwise; or (iii) any other officer, if authorized\nby the bylaws or the board of directors. An officer&#8217;s removal does not\naffect such officer&#8217;s contract rights, if any, with the corporation. Any person who has resigned as an officer of a corporation, or whose name is\nof record in the office of the clerk of the Commission as an officer of a\ncorporation, may file a statement to that effect with the Commission.\n\nD. Upon the resignation or removal of an officer, the corporation may file an\namended annual report with the Commission indicating the resignation or removal\nof the officer and the successor in office, if any.\n\nE.
